RealTalk Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the RealTalk websites, applications, and APIs (collectively, the “Platform” or “Service”). The Service is operated by RealTalk Software Inc. (“RealTalk,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “Account” means a registered user account (including accounts created via email/password, email one-time passcode, or Google OAuth) and may include an upgraded anonymous session.
  • “AI Output” or “Output” means content generated by the Service in response to your prompts (including summaries, analyses, and recommendations).
  • “MLS Data” means real estate listing and related information made available through the Service under license or authorization from MLSs and/or their data vendors and licensors, which may include property details, media, and agent/broker/office information.
  • “User Content” means information you submit to the Service (for example prompts, queries, filters, feedback, and messages).

2. Eligibility and Intended Users

The Service is intended for real estate professionals. By using the Service, you represent that:

  1. you can form a binding contract with RealTalk, and
  2. you will use the Service only in compliance with applicable law and these Terms.

Certain features (including MLS Data access) are available only to authorized, verified MLS members (see Section 5).

3. Description of the Service

RealTalk provides an AI-powered conversational interface that helps users analyze real estate listings and related real estate information. The Service is not a marketplace and does not process payments or facilitate buying, selling, or leasing transactions.

4. Accounts, Access, and Security

4.1 Registration and Account Types

Some features may be used without creating an account via an anonymous session. If you later create an Account, information from your anonymous session may be associated with your Account.

4.2 Accurate Information

You agree to provide accurate, current information and to keep your Account details updated.

4.3 Account Security

You are responsible for all activity under your Account and for keeping credentials confidential. Notify us promptly if you believe your Account has been compromised.

5. MLS Membership Verification and MLS Data

5.1 Verified Access Required

Access to MLS Data is restricted to users who are properly authorized MLS members (or otherwise authorized under applicable MLS Rules). You agree not to access MLS Data unless you have valid authorization and have completed any required verification.

5.2 MLS Rules Control

MLS Data is subject to confidentiality and use restrictions imposed by MLSs and licensors (“MLS Rules”). You agree to comply with all MLS Rules applicable to your access and use of MLS Data. If MLS Rules conflict with these Terms, MLS Rules govern with respect to MLS Data.

5.3 MLS Data Restrictions

Except to the extent expressly permitted by MLS Rules and applicable law, you will not:

  • disclose, distribute, publish, sublicense, sell, or otherwise make MLS Data available to any unauthorized person;
  • use MLS Data for any purpose not permitted by MLS Rules;
  • scrape, bulk-download, systematically extract, or create a database from MLS Data;
  • remove, obscure, or alter proprietary notices or source attributions.

5.4 Suspension for MLS-Related Reasons

We may suspend or terminate your MLS Data access (and/or your Account) if we reasonably believe your MLS authorization is invalid, has expired, cannot be verified, or you have violated MLS Rules or these Terms.

6. Acceptable Use

You agree not to use the Service to:

  • violate any law, regulation, or professional obligation (including MLS Rules);
  • infringe, misappropriate, or violate the rights of others (including privacy and confidentiality obligations);
  • attempt to gain unauthorized access to the Service, other accounts, or systems;
  • interfere with, disrupt, or degrade the Service (including by automation, scraping, or abusive request patterns);
  • transmit malware, harmful code, or exploit vulnerabilities;
  • misrepresent your identity, credentials, licensing status, or MLS authorization;
  • generate or facilitate unlawful discrimination or other unlawful conduct (including violations of fair housing laws).

We may monitor for abuse and enforce these restrictions to protect the Service, users, and licensors.

7. AI Outputs and Important Disclaimers

7.1 Informational Use Only

Outputs are provided for informational purposes and may be inaccurate, incomplete, or outdated. RealTalk is not a broker, agent, attorney, appraiser, lender, or financial advisor. Outputs do not constitute professional, legal, tax, or financial advice.

7.2 Your Responsibility to Verify

You are solely responsible for verifying Outputs and MLS Data, and for exercising professional judgment before relying on them. You are responsible for compliance with all laws, MLS Rules, brokerage policies, and disclosure obligations.

7.3 No Guarantees

We do not guarantee that Outputs or data will be correct, complete, or suitable for any particular purpose.

8. User Content; License

8.1 Your User Content

You retain ownership of your User Content.

8.2 License to Operate the Service

You grant RealTalk a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display your User Content to provide, maintain, secure, and improve the Service, including debugging, analytics, and enforcing these Terms.

8.3 Feedback

If you submit feedback or suggestions, you grant RealTalk the right to use them without restriction and without compensation.

9. Intellectual Property and Data Rights

9.1 RealTalk IP

RealTalk and its licensors own the Service, including software, interfaces, and underlying technology, except for User Content and third-party data.

9.2 MLS Data and Third-Party Data

MLS Data and other third-party data remain the property of their respective owners/licensors and are subject to applicable license restrictions. No rights are granted except as expressly stated in these Terms and/or MLS Rules.

10. Third-Party Services

The Service may incorporate or rely on third-party services (for example, mapping, email delivery, analytics, or AI model providers). Your use of those services may be governed by their separate terms and policies. RealTalk is not responsible for third-party services, including their availability, security, or practices.

11. Privacy

Our Privacy Policy describes how we collect, use, and share information, including User Content, account information, and service logs. The Privacy Policy is incorporated by reference into these Terms. If you do not agree to the Privacy Policy, do not use the Service.

12. Data Retention; Deletion and Export

We retain information as reasonably necessary for operating, securing, and improving the Service; complying with law; and enforcing these Terms.

Features and tooling may change over time. As of the Last Updated date, the Service may not provide self-serve account deletion or data export in-product. You may contact us regarding requests or questions using the contact information in Section 18.

13. Suspension and Termination

13.1 Termination by You

You may stop using the Service at any time.

13.2 Suspension/Termination by RealTalk

We may suspend or terminate your access (including MLS Data access) at any time if we reasonably believe:

  • you violated these Terms or MLS Rules;
  • your use creates risk to the Service, other users, licensors, or RealTalk;
  • required by law or legal process; or
  • your Account is inactive for an extended period (where permitted by law).

13.3 Effect of Termination

Upon termination, your right to use the Service ends. Sections that by their nature should survive will survive (including IP ownership, disclaimers, limitation of liability, indemnity, and dispute provisions).

14. Disclaimers

THE SERVICE, OUTPUTS, AND ALL DATA (INCLUDING MLS DATA) ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALTALK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND AVAILABILITY.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • REALTALK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
  • REALTALK’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID REALTALK FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless RealTalk and its officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • your use of the Service;
  • your User Content;
  • your violation of these Terms, MLS Rules, or applicable law; or
  • your infringement or violation of any third-party rights (including confidentiality or privacy obligations).

17. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Unless otherwise required by applicable law, you agree that disputes arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.

18. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date reflects the effective date of the latest version. By continuing to use the Service after changes become effective, you agree to the revised Terms.
